Proposal Terms

Terms and Conditions

For the purpose of this Proposal, “PromptTech” shall collectively include along with its associates, group companies, affiliates, subsidiaries, successors, and permitted assigns (hereinafter collectively referred to as “PromptTech” or “Company”).

PromptTech shall not be liable for any special, incidental, indirect, or consequential damages, including but not limited to loss of profits, loss of data, reputational loss, business interruption, or loss of information arising out of or in connection with this Proposal.

Service Delivery Entity and Third-Party Services

All services under this Proposal shall be delivered by PromptTech Global Private Limited (India) unless expressly stated otherwise.

PromptTech reserves the right to engage third-party service providers, platforms, tools, infrastructure providers, or subcontractors as necessary for service delivery. PromptTech shall not be liable for any failures, interruptions, or limitations attributable to such third-party services.

Client Responsibilities & Supporting Environment

The Client shall be solely responsible for providing and maintaining all supporting environments, including but not limited to:

• Hardware, servers, hosting, networks, operating systems
• Licenses, APIs, credentials, integrations
• Access permissions, approvals, content, and technical configurations

If compatibility or environmental issues arise during implementation, PromptTech shall notify the Client. The Client must provide a compatible or equivalent alternative solution in a timely manner.

PromptTech shall not be liable for delays, inaccuracies, failures, or interruptions arising from the Client’s failure to provide such supporting environments.

Data Responsibility & Backup

The Client retains full ownership, responsibility, and accountability for all data provided, uploaded, processed, or stored.

PromptTech does not guarantee data backup, recovery, or restoration unless explicitly agreed in writing. The Client is solely responsible for maintaining secure backups of all data.

Payment Terms

• All service fees are non-refundable unless expressly stated otherwise.
• Payments must be made strictly as per the proposal schedule.
• Delayed payments may result in suspension or termination of services without liability.
• All applicable taxes, duties, levies, and statutory charges shall be borne by the Client.

Refund Policy

• No refunds shall be issued for services once commenced.
• For eligible products only, a 15-day refund window may apply subject to approval criteria as detailed on www.prompttechglobal.com
• If a service becomes technically or commercially unachievable, PromptTech may terminate the engagement after deducting charges corresponding to resources allocated, time consumed, and costs incurred.

Cancellation & Termination

• PromptTech does not accommodate client-initiated cancellations after project commencement.
• In case of premature termination by the Client, no prorated refunds shall be issued, and services shall continue until the end of the billing cycle.
• PromptTech reserves the right to terminate services at its discretion for breach, non-cooperation, or non-payment.

Response Time & Acceptance

The Client agrees to respond within 24 hours of any request, clarification, or approval.

Failure to respond within this period shall be deemed as acceptance and confirmation of PromptTech’s proposed actions or deliverables.

Designated Point of Contact

The Client shall appoint one (1) authorized representative for coordination. Inputs or feedback from multiple individuals shall not be considered binding.

Official Communication Channel

All official communications shall be conducted exclusively through the PromptTech Connect App. Other modes (WhatsApp, email, calls, etc.) shall not be recognized unless expressly authorized due to technical issues.

Digital Marketing Disclaimer

PromptTech does not guarantee:

• Leads, conversions, revenue, rankings, or business outcomes
• Platform approvals, audience behaviour, or third-party policy changes

All digital marketing activities are subject to platform algorithms, compliance rules, and market conditions. PromptTech shall not be liable for suspensions, performance variations, or platform-enforced actions.

Intellectual Property Rights

All methodologies, frameworks, software, source code, documentation, strategies, and deliverables developed by PromptTech shall remain the exclusive intellectual property of PromptTech unless explicitly transferred in writing.

Use of Client Branding

PromptTech may use the Client’s name, logo, and brand identifiers for:

• Marketing
• Portfolio references
• Business commitments and third-party disclosures

Confidentiality

Both parties shall maintain confidentiality of proprietary and sensitive information. PromptTech shall not be responsible for disclosures resulting from Client negligence, third-party platforms, or statutory obligations.

Warranty Disclaimer

All services and products are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

Limitation of Liability

• PromptTech shall not be liable for indirect, incidental, consequential, or punitive damages
• PromptTech’s total liability, if any, shall not exceed the fees actually paid by the Client for the specific service giving rise to the claim
• PromptTech shall not be liable for loss of data, profits, business, or reputation

Representations by Client

The Client represents that:

• All information provided is accurate and lawful
• They possess all rights and permissions necessary for engagement
• Their activities shall not violate any applicable laws or third-party rights

Jurisdiction & Governing Law

Jurisdiction shall be determined based on the place of transaction and applicable laws, as deemed appropriate by PromptTech.

PromptTech reserves the exclusive right to choose jurisdiction.

These Common Proposal Terms, together with the specific proposal or statement of work, constitute the entire agreement between the parties and override all prior discussions or communications.
